Casa Modern Retail \- Terms of Service

Welcome to Casa Modern Retail. These Terms of Service (“Terms”) govern your access to and use of the services, software, and websites (collectively, the “Service”) provided by Casa Modern Retail, Inc. (“Casa Modern Retail,” “we,” “us,” or “our”).

Please read these Terms carefully. This is a legally binding agreement. By creating an account, or by accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1\. User Accounts & Eligibility

1.1. Account Creation. To access the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

1.2. Account Responsibility. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with this security obligation.

1.3. Age Requirement. THE SERVICE IS INTENDED SOLELY FOR USERS WHO ARE TWENTY-ONE (21) YEARS OF AGE OR OLDER. By creating an account and using the Service, you represent and warrant that you are 21 years of age or older and have the legal capacity to enter into this agreement. We rely on this representation. We may suspend or terminate your account without warning if we believe, in our sole discretion, that you are under the age of 21\.

2\. Subscriptions, Billing, and Cancellation

2.1. Subscriptions. Certain features of the Service are available only through a paid subscription (“Subscription”). By purchasing a Subscription, you agree to pay the fees specified at the time of purchase. All fees are quoted in U.S. Dollars.

2.2. Billing and Auto-Renewal. Your Subscription will automatically renew at the end of each billing cycle unless you cancel it. You authorize us or our third-party payment processor to charge your payment method for the renewal term. You are responsible for keeping your billing information up to date.

2.3. Cancellation. You may cancel your Subscription at any time through your account settings or by contacting us. If you cancel, your Subscription will remain active until the end of your current paid billing cycle.

2.4. No Refunds. PAYMENTS ARE NON-REFUNDABLE AND THERE ARE NO REFUNDS OR CREDITS FOR PARTIALLY USED PERIODS. Following any cancellation, you will continue to have access to the service through the end of your current billing period. At our sole discretion, we may offer a refund, discount, or other consideration to some or all of our users. The provision of such consideration in one instance does not entitle you to consideration in the future for similar instances, nor does it obligate us to provide consideration in the future.

2.5. Price Changes. We reserve the right to change the fees for our Subscriptions. We will provide you with reasonable prior notice of any fee changes. If you do not agree to the fee change, you must cancel your Subscription before the change takes effect.

3\. Acceptable Use Policy

You agree not to misuse the Service or help anyone else to do so. You agree not to do, or attempt to do, any of the following in connection with the Service:

Probe, scan, or test the vulnerability of any system or network;
Breach or otherwise circumvent any security or authentication measures;
Access, tamper with, or use non-public areas of the Service, shared areas of the Service you have not been invited to, or Casa Modern Retail’s computer systems;
Interfere with or disrupt any user, host, or network, for example by sending a virus, overloading, flooding, spamming, or mail-bombing any part of the Service;
Use the Service to send harassing or threatening messages or to promote illegal activities;
Access or search the Service by any means other than our publicly supported interfaces (for example, “scraping” or “crawling”);
Send unsolicited communications, promotions or advertisements, or spam;
Violate the law in any way, including storing, publishing or sharing material that’s fraudulent, defamatory, or misleading; or
Violate the privacy or infringe the rights of others.

4\. Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Casa Modern Retail, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes in accordance with these Terms.

5\. Governing Agreements

Your use of the Service is governed by these Terms and two other important documents which are incorporated by reference herein:

Our Privacy Policy: This policy explains how we collect, use, and share the personal information of our direct platform users. By using the Service, you state that you have read and understood our Privacy Policy.
Our Client Data Agreement (CDA): This agreement governs the rights and obligations related to the data provided by a client's organization. If you are an Administrator who connects a data source (e.g., by providing API keys) on behalf of your organization, you agree that your entire organization is bound by the terms of our Client Data Agreement.

6\. Termination

We may terminate or suspend your access to the Service at any time, with or without cause or notice to you. Upon termination, you continue to be bound by Sections 4, 7, 8, and 9 of these Terms.

7\. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, CASA MODERN RETAIL EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT.

We make no warranty that the Service will meet your requirements or be available on an uninterrupted, secure, or error-free basis.

8\. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CASA MODERN RETAIL, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

9\. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Colorado, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Colorado, and the parties irrevocably consent to the personal jurisdiction and venue therein.

10\. General Terms

These Terms constitute the entire and exclusive agreement between Casa Modern Retail and you regarding the Service, and these Terms supersede and replace any prior agreements. Our failure to enforce a provision is not a waiver of our right to do so later. If a provision is found unenforceable, the remaining provisions of the Agreement will remain in full effect.
